This End-User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User," "you," or "your") and GreenQuote ("Company," "we," "us," or "our") governing your access to and use of the GreenQuote software application, website, and related services (collectively, the "Software"). By accessing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not access or use the Software.
1. Grant of License
Subject to your compliance with this Agreement and payment of any applicable fees, GreenQuote grants you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Software solely for your internal business purposes.
- Generate lawn care quotes, estimates, and measurements for your customers.
- Use any documentation or materials provided by GreenQuote in connection with the Software.
This license does not include any right to sublicense, resell, or otherwise transfer the Software to any third party without prior written consent from GreenQuote.
2. Restrictions
You agree that you will not:
- Copy, modify, adapt, translate, or create derivative works of the Software.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
- Rent, lease, lend, sell, sublicense, assign, or otherwise transfer rights to the Software.
- Remove or alter any proprietary notices, labels, or marks on the Software.
- Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
- Use the Software to transmit any harmful, offensive, or disruptive content.
- Attempt to gain unauthorized access to any portion of the Software or its related systems.
- Use automated tools, bots, or scrapers to access or extract data from the Software without written permission.
3. Ownership & Intellectual Property
The Software, including all content, features, functionality, code, design, trademarks, and intellectual property therein, is and remains the exclusive property of GreenQuote and its licensors. This Agreement does not convey to you any ownership interest in or to the Software. All rights not expressly granted herein are reserved by GreenQuote.
4. User Accounts
To access certain features of the Software, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your account credentials and not share them with others.
- Notify GreenQuote immediately of any unauthorized use of your account.
- Accept responsibility for all activities that occur under your account.
GreenQuote reserves the right to suspend or terminate accounts that violate this Agreement or engage in fraudulent, abusive, or otherwise harmful activity.
5. Subscription & Payment
Access to certain features of the Software requires a paid subscription. By subscribing, you agree to:
- Pay all applicable fees as described on our pricing page at the time of purchase.
- Provide valid payment information and authorize GreenQuote to charge your payment method on a recurring basis.
- Understand that subscription fees are non-refundable except as expressly stated in our refund policy.
GreenQuote reserves the right to modify pricing with reasonable advance notice. Continued use of the Software after a price change constitutes acceptance of the new pricing.
6. Third-Party Services & Integrations
The Software may integrate with or link to third-party services (e.g., Jobber, Service Autopilot, GorillaDesk, Google Maps, Stripe). Your use of such third-party services is governed by their respective terms and privacy policies. GreenQuote is not responsible for the availability, accuracy, or practices of any third-party service. We encourage you to review the terms of any third-party service you use in connection with the Software.
7. Data & Privacy
Your use of the Software is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Software, you consent to the collection and use of your information as described in the Privacy Policy. You retain ownership of any data you input into the Software, and GreenQuote will not sell your data to third parties.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. GREENQUOTE DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED. YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENQUOTE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF GREENQUOTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL GREENQUOTE'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO GREENQUOTE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless GreenQuote and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Software, your violation of this Agreement, or your violation of any rights of another party.
11. Term & Termination
This Agreement is effective from the date you first access the Software and continues until terminated.
- You may terminate this Agreement at any time by canceling your account and ceasing use of the Software.
- GreenQuote may terminate or suspend your access immediately, without prior notice, if you breach any term of this Agreement.
- Upon termination, all licenses granted to you under this Agreement will immediately cease.
Sections 3, 8, 9, 10, 12, and 13 shall survive any termination of this Agreement.
12. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Kentucky, United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Kentucky, and you consent to personal jurisdiction in such courts. You waive any right to a jury trial in connection with any dispute arising under this Agreement.
13. Changes to This Agreement
GreenQuote reserves the right to modify this EULA at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or through the Software. Your continued use of the Software after any changes constitutes your acceptance of the revised Agreement.
